Terms of Service

Last updated: 19 October 2026

1. Agreement

These Terms of Service govern access to and use of the A.D.O.P.T. website and platform, operated by Neurora Innovations.

By using the platform, creating an account or accepting an applicable order or subscription agreement, you agree to the terms applicable to your use. If you use A.D.O.P.T. on behalf of an organization, you represent that you are authorized to act for that organization.

If you do not agree to these Terms, do not use the platform.

2. What A.D.O.P.T. does

A.D.O.P.T. is an AI Value Management platform intended to help organizations identify, evaluate, prioritize, manage and measure potential AI opportunities.

Depending on the features made available, the platform may process organizational information and produce diagnoses, technology options, recommendations, prioritized action plans and Technology Opportunity & Solution Reports.

A.D.O.P.T. provides decision support. It does not guarantee that a proposed technology will be feasible, profitable, safe, compliant or successful. It does not itself implement or deploy every recommended solution.

3. Eligibility and authority

You must provide accurate information when creating an account and must have authority to accept these Terms.

You may use the platform only for lawful business or organizational purposes and in accordance with these Terms.

4. Accounts and organization membership

Users are responsible for maintaining the confidentiality of their credentials and for activity conducted through their accounts, subject to applicable law.

The platform's intended roles are:

  • Owner: primary organization-level control.
  • Administrator: delegated administrative responsibilities.
  • Manager: permitted management activities.
  • Member: access to authorized functions and information.

The permissions assigned to a role apply within the relevant organization. Users must not attempt to access another organization's data or bypass permission controls.

Invitations are intended to expire after seven days. Organization administrators may remove or suspend users. Removal or suspension may revoke access while relevant records and audit history are retained as required for security, accountability or legal purposes.

The actual permissions and available features are those implemented and documented in the platform.

5. Customer data and proprietary information

Your organization retains its rights to the business information and materials it submits to A.D.O.P.T., subject to any rights necessary to operate the service.

You represent that you have the rights and authority required to submit that information and authorize its processing for the agreed service purposes.

You should not submit information you are not authorized to disclose.

We will process customer information in accordance with the applicable Privacy Policy, subscription or order terms, and Data Processing Agreement where applicable.

6. AI-generated outputs

AI-generated outputs are provided to support analysis and decision-making. They may contain errors, omissions, outdated assumptions or unsuitable recommendations.

You are responsible for reviewing outputs and determining whether they are appropriate before acting on them.

You must independently assess material financial, technical, operational, security, legal and regulatory decisions. Do not treat an AI-generated recommendation as a guarantee or as a substitute for qualified professional advice where such advice is required.

7. Acceptable use

You must not:

  • Use the platform for unlawful, fraudulent or deceptive purposes.
  • Attempt unauthorized access to accounts, systems or organizational data.
  • Interfere with platform security, availability or integrity.
  • Introduce malicious code or abuse platform resources.
  • Submit information unlawfully obtained or disclosed.
  • Use the service to infringe another party's intellectual property or privacy rights.
  • Reverse engineer or exploit the service except where applicable law expressly permits it.
  • Misrepresent AI-generated outputs as verified facts without appropriate review.

We may investigate suspected violations and take proportionate action consistent with applicable law and contractual obligations.

8. Intellectual property

A.D.O.P.T., its software, branding, interface, documentation and related materials are owned by or licensed to Neurora Innovations, except for customer materials and third-party components.

Subject to these Terms and any applicable subscription agreement, we grant authorized users a limited, non-exclusive, non-transferable right to use the platform during the applicable access period.

No ownership of the platform is transferred to you.

The rights associated with generated outputs, customer-specific reports and any third-party materials must be specified in the applicable subscription or order terms. Nothing in this section transfers customer-owned input data to us.

9. Fees and subscriptions

Where A.D.O.P.T. offers paid plans, the applicable price, billing cycle, payment method, renewal conditions, taxes, cancellation terms and refund rules will be presented before purchase or in the applicable order form.

No fee is payable solely because a person reads the public marketing website unless a separate purchase agreement applies.

The pricing and subscription provisions must be finalized before paid subscriptions are enabled.

10. Availability and changes

We will make reasonable efforts to operate the service, but we do not guarantee uninterrupted availability unless an applicable service-level agreement expressly provides otherwise.

We may update, improve or discontinue features, subject to applicable contractual obligations and law. Material changes affecting paid customers will be handled in accordance with the applicable agreement.

11. Third-party services

A.D.O.P.T. may rely on third-party hosting, AI, authentication or other services. Those services may be governed by their own terms and privacy notices.

We will identify relevant subprocessors and apply appropriate contractual safeguards where required.

12. Suspension and termination

Access may be suspended or terminated as permitted by the applicable agreement, including for material violations, security risks, unlawful use or non-payment where relevant.

The procedures for termination, data export, deletion, retention and outstanding fees must be defined in the applicable customer agreement.

Termination does not automatically require deletion of records that must lawfully be retained for security, audit, dispute resolution or legal compliance.

13. Warranties and liability

To the extent permitted by applicable law, A.D.O.P.T. is provided subject to the warranties and limitations expressly set out in the applicable agreement.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights that cannot lawfully be waived.

Any limitation of liability, indemnity, warranty exclusion or allocation of risk must be reviewed for enforceability under the governing law and the nature of the customer relationship.

14. Governing law and disputes

These Terms are governed by the laws of Kenya.

Disputes will be handled through the courts of Kenya, subject to mandatory legal requirements.

15. Changes and contact

We may revise these Terms by publishing an updated version and providing notice where required.

Questions about these Terms should be sent to legal@neurorainnovations.com.
